Clear terms for
a professional tool

These Terms of Use are an agreement between you and Myomesh Technologies Corp (“MyoMesh,” “we,” “us,” or “our”). They apply when you download, install, access, or use MyoMesh Notes Solo (the “App”), including its optional MYOMIND AI features and connected account mode.

By using the App, you agree to these terms and the MyoMesh Notes Solo Privacy Policy. If you do not agree, do not use the App. You must be at least 18 years old and legally able to enter into this agreement. If you use the App for a clinic, practice, employer, or other organisation, you confirm that you have authority to accept these terms for that organisation.

The App is licensed, not sold. Subject to these terms and the rules of the store where you obtained it, MyoMesh grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the App on devices that you own or control for your lawful professional use.

You may not copy the App except for permitted backups; distribute, rent, lease, sell, sublicense, or commercially resell it; bypass access or security controls; or reverse engineer, decompile, disassemble, modify, or create derivative works from it except where applicable law expressly permits that activity.

If you obtained the App through Google Play, your use is also subject to the Google Play Terms of Service. Apple and Google are not responsible for providing MyoMesh support or MYOMIND AI services.

The App is a documentation and decision-support tool for health and wellness professionals. It does not practise a profession, diagnose conditions, prescribe treatment, provide emergency services, or replace your training, independent judgment, documentation standards, informed-consent process, or legal and regulatory duties.

You are responsible for reviewing every note, draft, body-chart entry, export, and AI output before relying on, signing, saving, or sharing it. You remain responsible for the accuracy and completeness of clinical records, obtaining required client consent, responding to record-access requests, retaining records for the required period, and using the App only within your lawful scope of practice.

Notes Solo does not require an App account. In Solo mode, client names, notes, body charts, AI drafts, settings, and other records you create are stored locally in the App’s private storage on your device unless you choose an action that sends or exports information as described in the Solo Privacy Policy.

You control and own your records. You are responsible for protecting your device, keeping appropriate exports or backups, testing any restored backup, and maintaining records outside the App when required by law or professional standards. MyoMesh cannot access or recover locally stored records.

Deleting the App deletes its local Solo records from that device. Changing, losing, damaging, resetting, or replacing a device may also make those records unavailable. It does not delete records held under a connected MyoMesh.com practice account.

MYOMIND AI is an optional decision-support feature included with Notes Solo at no charge. Only content you deliberately select for a MYOMIND feature is sent from the App. The selected content is sent to MyoMesh infrastructure in Canada, automatically filtered to remove common direct identifiers, and then processed by our AI provider under contractual zero-data-retention controls. AI output may be incomplete, inaccurate, outdated, unexpected, or unsuitable for a particular client. It is a draft for professional review, not a clinical conclusion, diagnosis, screening result, treatment recommendation, prescription, or clearance. You must independently verify all output and must not rely on it as the sole basis for a clinical decision.

U.S. HIPAA-regulated use

If you are a U.S. HIPAA covered entity or business associate, do not send electronic protected health information to MYOMIND AI unless MyoMesh has confirmed that your intended use is eligible and an appropriate Business Associate Agreement with MyoMesh has been executed. Contact support@myomesh.ca before using MYOMIND AI in a HIPAA-regulated workflow. This restriction does not apply to records that remain solely in local App storage and are never submitted to MYOMIND AI.

Notes Solo and its MYOMIND features are provided at no charge. There is no Notes Solo subscription, automatic renewal, or trial deadline.

You may optionally connect the App to an existing MyoMesh.com Professional User account. Connected mode is included with the App, but the underlying MyoMesh practice account remains subject to the MyoMesh platform plan, trial, and Terms of Service accepted by that Subscriber.

Connected mode accesses only records and functions authorised for that account. Solo records remain separate and are not automatically copied, merged, or uploaded when you connect. We may apply reasonable use, security, or technical limits to free features where needed to protect the service and its users.

The MyoMesh Notes Solo Privacy Policy explains local storage, exports, MYOMIND processing, connected accounts, biometrics, data retention, and deletion. It forms part of these terms. If you send or export information to another app or service, that destination’s terms and privacy practices apply.

You must use the App lawfully, professionally, and in a way that respects the privacy and rights of clients and others. You must not use the App or MYOMIND AI to:

The App may interact with Apple, Google Play, OpenAI, MyoMesh.com, your device’s operating system, email or file applications, and websites or services you choose. Availability and operation of those services are outside our control and may change. Your use of them is subject to their own terms and privacy practices.

You are responsible for evaluating whether an external destination is appropriate for clinical records before exporting or sharing information. MyoMesh is not responsible for information after you direct the App to send it to an external service.

You retain ownership of the notes, charts, client information, and other content you create. MyoMesh and its licensors own the App, MYOMIND AI service, software, designs, trademarks, documentation, and all related intellectual-property rights. No rights are granted except the limited licence stated in these terms.

If you voluntarily provide feedback or suggestions, you permit MyoMesh to use them without restriction or compensation, provided we do not identify you or disclose client information in doing so.

We may update the App or MYOMIND AI to add, change, secure, or remove features. Some updates may be required for continued use, store compliance, security, or compatibility. We do not promise that every feature will always be available on every device, operating system, country, language, or store.

You may stop using the App at any time. We may suspend or terminate MYOMIND access if you materially breach these terms, misuse the service, create a security or legal risk, fail to maintain payment, or if a store suspends the associated entitlement. Termination ends the licence and service access but does not automatically erase records stored locally on your device. Provisions that by their nature should survive termination will continue to apply.

To the fullest extent permitted by law, MyoMesh disclaims implied warranties and conditions including merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, and non-infringement. Nothing in these terms excludes warranties or consumer rights that cannot legally be excluded.

To the fullest extent permitted by law, MyoMesh will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, or for loss of data, records, revenue, profits, goodwill, business opportunity, or business interruption arising from the App, MYOMIND AI, an external service, or your inability to use them.

To the fullest extent permitted by law, MyoMesh’s total cumulative liability for all claims relating to Notes Solo or MYOMIND AI will not exceed the greater of the amount you paid for Notes Solo services during the three months before the event giving rise to the claim or CAD $500. These limits do not apply where liability cannot lawfully be limited, including liability for fraud or for death or personal injury caused by negligence where applicable.

If you use the App for professional or business purposes, you agree, to the extent permitted by law, to indemnify and hold MyoMesh harmless from third-party claims and reasonable costs arising from your unlawful use, your breach of these terms, your failure to obtain required consent, your breach of professional or recordkeeping duties, or a clinical decision made without the independent review required by these terms.

These terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Before starting a formal dispute, you agree to contact support@myomesh.ca and allow at least 30 days for an informal resolution. Subject to mandatory rights that cannot be waived, the courts of Ontario have exclusive jurisdiction over disputes relating to these terms or the App.

If you use the App outside Canada, you are responsible for complying with local health-information, professional, consumer, tax, privacy, export-control, and sanctions laws. Nothing in these terms limits mandatory consumer or privacy rights that apply to you and cannot be excluded by contract.

You may not export, re-export, or use the App or MYOMIND AI in violation of Canadian, United States, or other applicable export-control or sanctions laws, including use by prohibited persons or in prohibited territories.

We may update these terms. The current version will be posted at this address with a revised effective date. Where required by law or store policy, we will provide additional notice. Continued use after revised terms take effect means you accept them, except where applicable law requires another form of consent.
